Terms of Service and End User License Agreement
These Terms of Service and End User License Agreement (“Terms”) govern access to and use of the Collimet website, application, and related services (collectively, the “Service”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms.
1. Eligibility and Authority
You must be at least 18 years old and legally able to enter into a binding agreement. If you use Collimet for a company, property owner, property manager, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts, Organizations, and Invitations
- You must provide accurate account information and keep it current.
- You are responsible for activity performed through your account and for protecting access to your Google account and devices.
- Organization administrators control invitations, roles, permissions, property access, and removal of users within their organization.
- Administrators are responsible for inviting only authorized individuals and for promptly revoking access when it is no longer appropriate.
- You may not share an account or impersonate another person.
3. License to Use Collimet
Subject to these Terms, Collimet grants you a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use the Service for your internal vacation-rental or property-operations purposes. Collimet and its licensors retain all rights in the software, design, branding, documentation, and other Service materials.
4. Customer Data
As between you and Collimet, you retain ownership of information that you or your organization submits to the Service (“Customer Data”). You grant Collimet a limited license to host, copy, process, transmit, display, and otherwise use Customer Data only as reasonably necessary to provide, secure, maintain, support, and improve the Service; comply with law; and enforce these Terms.
You represent that you have the necessary rights and permissions to provide Customer Data to Collimet, including information concerning properties, guests, employees, contractors, cleaners, owners, and other users.
5. Acceptable Use
You may not:
- use the Service for unlawful, fraudulent, abusive, or deceptive purposes;
- access another organization’s data without authorization;
- attempt to bypass authentication, permissions, usage restrictions, or security controls;
- probe, scan, disrupt, overload, reverse engineer, or interfere with the Service, except where applicable law expressly permits it;
- upload malicious code or content that infringes another person’s rights;
- resell, sublicense, or provide the Service as a standalone service without written permission;
- use the Service to store highly sensitive information that Collimet is not designed to handle, such as Social Security numbers, payment-card security codes, medical records, or government identification documents.
6. Third-Party Platforms and Calendar Feeds
Collimet may display or process information received from Airbnb, Vrbo, Booking.com, Evolve, Google, calendar feeds, and other third-party services. Third-party services are outside Collimet’s control and may delay, omit, duplicate, modify, cancel, or incorrectly format information.
You remain responsible for independently verifying bookings, cancellations, blocked dates, check-in and checkout dates, cleaning assignments, and other operational decisions. Collimet is not responsible for losses caused by inaccurate, delayed, unavailable, or incomplete third-party data.
7. Operational Decisions and Safety
Collimet assists with planning and coordination but does not manage properties on your behalf. You are solely responsible for property safety, guest communications, staffing, employment and contractor obligations, taxes, licenses, regulatory compliance, insurance, and all decisions made using information displayed by the Service.
8. Service Availability and Changes
We may modify, update, suspend, or discontinue features to maintain security, reliability, legal compliance, or product quality. We do not guarantee that the Service will always be uninterrupted, error-free, or available at a particular time. Planned or emergency maintenance may temporarily affect availability.
9. Support and Administrative Access
Authorized Collimet personnel may access accounts and Customer Data when reasonably necessary to provide support, diagnose problems, maintain or secure the Service, restore data, investigate misuse, respond to an authorized request, or comply with law. Such access will be limited to legitimate operational purposes.
10. Fees and Subscriptions
Some features may be offered through free, trial, early-access, or paid plans. Pricing, billing intervals, included features, renewal terms, and cancellation rules will be disclosed before a paid purchase. Unless stated otherwise, recurring subscriptions renew automatically until canceled. Fees are nonrefundable except where required by law or expressly stated at purchase.
11. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access when reasonably necessary because of nonpayment, security risk, unlawful use, material breach, abuse, or harm to the Service or others.
Following termination, access to the Service may end immediately. We may provide a reasonable opportunity to export Customer Data when practical, unless access is suspended for security, legal, or abuse-related reasons. Certain provisions—including ownership, disclaimers, limitations of liability, and dispute provisions—survive termination.
12. Privacy
Our Privacy Policy explains how we collect, use, store, and share information. By using the Service, you acknowledge the practices described in that policy.
13. Feedback
If you provide ideas or feedback about Collimet, you grant us a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” COLLIMET DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLIMET AND ITS OWNERS, AFFILIATES, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; PROPERTY-OPERATIONS LOSSES; MISSED OR DUPLICATED CLEANINGS; DOUBLE BOOKINGS; THIRD-PARTY PLATFORM ERRORS; OR SERVICE INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLIMET’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COLLIMET DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above provisions may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Collimet and its owners, affiliates, and personnel from claims, damages, liabilities, losses, and expenses arising from your Customer Data, your properties or operations, your violation of law or these Terms, or your infringement of another person’s rights.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought in the state or federal courts located in Alachua County, Florida, and the parties consent to personal jurisdiction and venue there.
Before filing a lawsuit, the complaining party must send written notice describing the dispute and allow at least 30 days for a good-faith attempt to resolve it.
18. Changes to These Terms
We may update these Terms as the Service evolves. We will post the revised Terms with an updated effective date and provide additional notice when appropriate. Continued use after the effective date of revised Terms constitutes acceptance, except where law requires affirmative consent.
19. General Terms
These Terms and the Privacy Policy form the entire agreement concerning the Service unless a separate written agreement applies. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.
